Terms of service

These terms are an agreement between the organisation subscribing to Reportoir (“you”, “your organisation”) and Omnip Pty Ltd (ABN 99 122 415 909), the Australian company that operates Reportoir as a registered trading name (“we”, “us”). By subscribing to or using Reportoir you agree to them. The person who completes checkout confirms they are authorised to accept these terms for their organisation.
1. The service
Reportoir organises your themes, initiatives and projects and collects periodic status reports from the project owners your organisation nominates, over email with automatic reminders. Each plan’s inclusions and limits are described on the pricing page.
2. Accounts
The email address used at signup becomes the organisation’s owner. You are responsible for the people you give access to, for keeping sign-in links and invitations confidential, and for the accuracy of the information your organisation adds to Reportoir.
3. Trials, fees and billing
- Plans that advertise a free trial are free for the stated trial period. Your card is charged for the first time when the trial ends, and then monthly in advance. Cancel before the trial ends and you pay nothing.
- Prices are in US dollars, as shown on the pricing page.
- Billing is handled by Stripe. If a renewal payment fails we may retry it, and we may suspend or downgrade the account if payment is not made.
- You are responsible for any taxes or charges your jurisdiction applies to your purchase, other than taxes on our income.
- We may change plan prices or inclusions with at least 30 days’ notice by email; changes take effect at your next renewal after the notice period.
4. Cancellation and refunds
You can cancel at any time. Cancellation takes effect at the end of the period you have already paid for: you keep access until then, and we do not charge you again. We do not give refunds or credits for partial billing periods, except where the law requires otherwise. Nothing in these terms excludes rights you have under the Australian Consumer Law or other laws that cannot be excluded.
5. Acceptable use
You agree not to:
- use Reportoir to send emails to people who have no connection with your organisation or its projects — the report-request system is not a bulk-mail tool;
- upload content that is unlawful, infringing, or that you have no right to share;
- attempt to probe, disrupt or gain unauthorised access to the service or other organisations’ data; or
- resell or provide the service to third parties as if it were your own.
We may suspend accounts that put the service or other customers at risk.
6. Your content
Your organisation’s data — projects, reports, names and addresses you add — remains yours. You grant us the licence needed to host, process, transmit and display it in order to run the service, and you are responsible for having the right to give us that content, including other people’s contact details (see our privacy policy). On cancellation we will, on request within 30 days, provide a reasonable export of your data before it is deleted.
7. Our property
Reportoir itself — the software, design and branding — belongs to us. These terms don’t transfer any of it to you beyond the right to use the service while subscribed.
8. Availability and changes
We work to keep Reportoir available and improving, but we don’t promise uninterrupted or error-free operation, and we may change or add features over time. If we ever discontinue the service we will give you at least 60 days’ notice and the opportunity to export your data.
9. Liability
To the extent the law allows: we are not liable for indirect or consequential loss (such as lost profits or lost data caused by events outside our reasonable control), and our total liability for any claim is capped at the amount your organisation paid us in the 12 months before the claim arose. Where the Australian Consumer Law gives you a guarantee we cannot exclude, our liability is limited, where permitted, to resupplying the service or paying the cost of having it resupplied.
10. Termination
You can end the agreement by cancelling your subscription. We can end it, or suspend access, if your organisation materially breaches these terms and doesn’t fix the breach within 14 days of us notifying you (or immediately for serious misuse under section 5).
11. Changes to these terms
We may update these terms from time to time. For material changes we will give subscribing organisations at least 30 days’ notice by email. Continuing to use Reportoir after a change takes effect means you accept it; if you don’t, cancel before it does.
12. Governing law
These terms are governed by the laws of Victoria, Australia, and the courts of Victoria have exclusive jurisdiction, subject to any non-excludable rights under the laws of the place you are located.
